1. OVERVIEW & ACCEPTANCE OF TERMS
Welcome to REPOMIND AI LLC (operating via repomindaillc.com). These Terms of Service ("Terms") govern your access to and use of our website, as well as any custom IT services, SaaS products, and digital assets purchased through our agency.

By accessing our website, booking a strategy session, or making a purchase, you agree to be bound by these Terms. Pre-Purchase Recommendation: We highly recommend speaking with our team before making a payment for custom services to ensure our solutions perfectly align with your goals. By checking the Terms of Service agreement box at checkout, you acknowledge that you have fully read, understood, and agreed to these policies prior to submitting any payment.

2. OUR BUSINESS MODEL & SERVICES
REPOMIND AI LLC operates as a hybrid digital infrastructure agency. We provide:

  • Custom Services: High-ticket web development, e-commerce storefront frameworks, UI/UX design, performance marketing setups (Meta/TikTok ads), and CRM integrations.

  • Digital Assets & SaaS: Ready-to-use codebase templates, SaaS dashboards, UI kits, and instant digital downloads.

3. PRICING & PAYMENT TERMS
We scope your project in detail upfront and operate strictly on a fixed-price model. Once a quote is agreed upon, the price doesn't change—no hidden fees or surprise invoices.

  • Custom Services: A 50% upfront deposit is required to commence work on any custom project. The remaining 50% balance is due upon project completion and before the final handover of assets or source code.

  • Digital Assets & SaaS: All digital products, codebases, and templates require 100% payment upfront at the time of checkout.

  • Accepted Payment Methods: We accept Bank Transfers, major Credit/Debit Cards, PayPal, Apple Pay, Google Pay, and Shop Pay.

4. STRICT NO-REFUND & ANTI-CHARGEBACK POLICY
To protect the integrity of our intellectual property and the extensive resources allocated to our projects, we strictly enforce the following refund policy:

  • Custom Services: Once the initial 50% deposit is paid and the project architecture/kickoff phase commences, payments are strictly non-refundable. You are compensating for the labor, time, and resources already allocated.

  • Digital Assets & SaaS: Due to the irrevocable nature of digital goods, all sales of digital products, code downloads, and SaaS templates are final. Once a digital asset has been delivered or access has been granted, absolutely no refunds, returns, or exchanges will be issued.

  • Chargeback Waiver: By checking the Terms of Service box at checkout, you legally confirm that you have read these policies and waive your right to file a chargeback for digital goods delivered or custom services rendered. Any fraudulent chargeback attempts will be aggressively disputed using your project brief, communication logs, and this legal agreement.

5. PROJECT TIMELINES & DELIVERY

  • Timelines: Timelines depend on project complexity. Standard website builds or small services typically take 2 to 4 weeks. Large-scale e-commerce builds, complex SaaS integrations, or professional custom websites require 4 to 8 weeks.

  • Commencement: Project timelines officially begin only after the 50% deposit is secured and the client has submitted all required assets.

  • Project Delivery: Upon completion, we provide full handover documentation, source files, and access credentials. We also offer a walkthrough session to ensure you're fully comfortable managing your new platform.

6. REVISIONS & ONGOING SUPPORT

  • Revisions: Each package includes a predefined number of revision rounds. We work closely with you during the review phase to ensure the final deliverable meets your expectations. Additional revisions or scope changes will be billed separately.

  • Support & Security: Every website we build includes SSL configuration, security best practices, and a dedicated support period after launch. After that, you can continue with a monthly maintenance plan or purchase support hours as needed.

7. INTELLECTUAL PROPERTY & LICENSING

  • Custom Services Ownership: Upon successful payment of the final 50% invoice, the client receives 100% ownership of the final code and Intellectual Property (IP). REPOMIND AI LLC holds no hostage clauses.

  • Digital Assets Licensing: Purchasing a digital product grants you a specific license (Basic, Pro, or White-Label Agency). You are strictly prohibited from reselling, redistributing, or claiming authorship of our base code unless a specific White-Label Agency license has been explicitly purchased.

8. CLIENT RESPONSIBILITIES & COMMUNICATION
Clients are expected to provide timely feedback during the project lifecycle. We will set up a dedicated communication channel (Email, Slack, or Zoom) and provide regular progress updates. Delays in client feedback may result in extended project timelines.

9. GOVERNING LAW & COMPANY INFORMATION
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Indiana, United States.
