1. OVERVIEW & ACCEPTANCE OF TERMS

Welcome to REPOMIND AI LLC (operating via repomindaillc.com). These Terms of Service ("Terms") govern your access to and use of our website, as well as any custom technical services, on-demand engineering, SaaS products, and digital assets purchased through our agency.

By accessing our website, booking a strategy session, or making a purchase, you agree to be bound by these Terms.

Pre-Purchase Recommendation: We highly recommend speaking with our team before making a payment for high-ticket custom services to ensure our solutions perfectly align with your operational goals. By checking the Terms of Service agreement box at checkout, you legally acknowledge that you have fully read, understood, and agreed to these policies prior to submitting any payment.

2. OUR BUSINESS MODEL & SERVICES

REPOMIND AI LLC operates as a hybrid digital infrastructure agency. We provide a comprehensive ecosystem divided into three core pillars:

  • Custom Web Infrastructure & Auditing: High-ticket, bespoke web development, e-commerce storefront architectures, SaaS integrations, and deep technical audits.

  • SaaS Subscriptions & Digital Assets: Ready-to-deploy codebase templates, UI/UX kits, and SaaS admin panels offered via one-time purchases, installment plans, or weekly/monthly subscriptions.

  • On-Demand Engineering: Hourly technical support, live troubleshooting, platform customization, and ongoing website maintenance.

3. PRICING & PAYMENT TERMS

We scope custom projects in detail upfront and operate strictly on a fixed-price milestone model, ensuring no hidden fees or surprise invoices.

  • Custom Services: A 50% upfront deposit is required to commence work on any custom build or technical audit. The remaining 50% balance is strictly due upon project completion and prior to the final handover of assets, intellectual property, or source code.

  • SaaS & Digital Assets: All digital product downloads, SaaS subscriptions (weekly/monthly), and installment plans require payment upfront at the time of checkout based on the selected tier.

  • Hourly Support: On-demand troubleshooting and maintenance services are billed at our standard hourly rate.

  • Accepted Payment Methods: We accept major Credit/Debit Cards, Bank Transfers, PayPal, Apple Pay, Google Pay, and Shop Pay.

4. STRICT NO-REFUND & ANTI-CHARGEBACK POLICY

To protect the integrity of our intellectual property, proprietary codebase, and the extensive engineering resources allocated to our projects, we strictly enforce the following refund rules:

  • Custom Services: Once the initial 50% deposit is paid and the project architecture or kickoff phase commences, payments are strictly non-refundable. You are compensating for the labor, time, and strategy already allocated.

  • Digital Assets & SaaS: Due to the irrevocable nature of digital goods, all sales of digital products, code downloads, and SaaS templates are final.

  • Hourly Support: Fees paid for hourly engineering and live troubleshooting are strictly for labor rendered and are non-refundable.

  • Chargeback Waiver: By checking the Terms of Service box at checkout, you legally confirm that you have read these policies and waive your right to file a chargeback for digital goods delivered, hourly services rendered, or custom milestones initiated. Any fraudulent chargeback attempts will be aggressively disputed using your project brief, time logs, communication records, and this legal agreement.

5. PROJECT TIMELINES & DELIVERY

  • Timelines: Timelines depend on architectural complexity. Standard website builds or small custom services typically require 2 to 4 weeks. Large-scale e-commerce builds, complex SaaS integrations, or enterprise frameworks require 4 to 8 weeks.

  • Commencement: Project timelines officially begin only after the 50% deposit is secured and the client has submitted all required technical assets and brand guidelines.

  • Project Delivery: Upon completion and final payment, we provide full handover documentation, source files, and access credentials.

6. REVISIONS, TROUBLESHOOTING & ONGOING SUPPORT

  • Revisions: Each custom project package includes a predefined number of revision rounds during the review phase. Additional scope changes or out-of-scope functionality requests will be billed separately.

  • Ongoing Maintenance: After the initial post-launch support period, further platform customization, API integration repairs, or general troubleshooting must be acquired through our hourly On-Demand Engineering services or a dedicated monthly maintenance retainer.

7. INTELLECTUAL PROPERTY & LICENSING

  • Custom Services Ownership: Upon successful payment of the final 50% invoice, the client receives 100% ownership of the final code and Intellectual Property (IP) for that specific custom build. REPOMIND AI LLC holds no hostage clauses.

  • Digital Assets Licensing: Purchasing a digital product (UI blueprint, template, or codebase) grants you a specific usage license. You are strictly prohibited from reselling, redistributing, or claiming authorship of our base code as a standalone product on any marketplace unless a specific White-Label Agency license has been explicitly purchased and documented.

8. CLIENT RESPONSIBILITIES & COMMUNICATION

Clients are expected to provide timely feedback during the project lifecycle. We establish dedicated communication channels (Email, Slack, or Zoom) to provide regular progress updates. Significant delays in client feedback, failure to provide necessary access credentials, or extended pauses in communication may result in paused workflows and extended project timelines.

9. GOVERNING LAW & COMPANY INFORMATION

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions.
